By accessing and using KudoScan ("the Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

These Terms of Service are governed by and construed in accordance with the laws of India, including but not limited to the Information Technology Act, 2000, the Consumer Protection Act, 2019, and the rules made thereunder.

2. Description of Service

KudoScan is a Software-as-a-Service (SaaS) platform designed to help local businesses increase the quantity and quality of their Google Reviews through AI-enhanced, frictionless customer experiences. The Service includes:

  • QR code generation and management for review collection
  • AI-powered review suggestion generation
  • Business profile management and Google Business Profile integration
  • Analytics and reporting features
  • Subscription-based access to premium features

3. User Accounts and Registration

To use certain features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and update your account information to keep it accurate
  • Maintain the security of your password and identification
  • Accept all responsibility for activities that occur under your account
  • Notify us immediately of any unauthorized use of your account
  • Comply with all applicable Indian laws and regulations

4. Acceptable Use

You agree not to use the Service to:

  • Generate, encourage, or facilitate fake, fraudulent, or misleading reviews
  • Violate any applicable Indian laws or regulations, including the Information Technology Act, 2000
  • Infringe upon the rights of others, including intellectual property rights protected under Indian law
  • Transmit any harmful, offensive, defamatory, or inappropriate content
  • Attempt to gain unauthorized access to the Service or related systems
  • Interfere with or disrupt the Service or servers connected to the Service
  • Use automated systems to access the Service without permission
  • Resell or redistribute the Service without authorization
  • Engage in any activity that violates the Consumer Protection Act, 2019

5. AI-Generated Content

The Service provides AI-generated review suggestions. You acknowledge that:

  • AI-generated suggestions are provided as templates and should be reviewed and customized by users
  • You are responsible for ensuring all reviews posted are authentic and reflect genuine customer experiences
  • We do not guarantee the accuracy, quality, or appropriateness of AI-generated content
  • You must comply with Google's review policies and guidelines when posting reviews
  • We are not responsible for any consequences resulting from the use of AI-generated suggestions
  • Posting fake or misleading reviews may violate Indian consumer protection laws and may result in legal action

6. Subscription and Payment

The Service operates on a subscription basis. By subscribing, you agree to:

  • Pay all fees associated with your chosen subscription plan in Indian Rupees (INR)
  • Automatic renewal of your subscription unless cancelled
  • Payment processing through our third-party payment provider (Razorpay), which complies with Reserve Bank of India (RBI) guidelines
  • Compliance with our Refund and Cancellation Policy, which adheres to the Consumer Protection Act, 2019
  • Price changes with reasonable notice as required by Indian law
  • All transactions are subject to applicable Indian taxes (GST) as per the Goods and Services Tax Act, 2017

7. Intellectual Property

The Service and its original content, features, and functionality are owned by TrustUpAI and are protected by Indian copyright, trademark, patent, trade secret, and other intellectual property laws, including the Copyright Act, 1957, and the Trade Marks Act, 1999. You may not copy, modify, distribute, sell, or lease any part of our Service without our written permission.

8. Third-Party Services

The Service integrates with third-party services including Google Business Profile, Razorpay, and AI service providers. Your use of these services is subject to their respective terms and conditions. We are not responsible for the availability, accuracy, or practices of third-party services. All third-party payment processors comply with Reserve Bank of India (RBI) regulations.

9. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for conduct that we believe violates these Terms, the Information Technology Act, 2000, or is harmful to other users, us, or third parties. Upon termination, your right to use the Service will cease immediately. You may also terminate your account at any time through your account settings.

10. Limitation of Liability

To the maximum extent permitted by applicable Indian law, KudoScan shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Service. Our total liability shall not exceed the amount paid by you for the Service in the twelve (12) months preceding the claim.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement, to the extent permitted by Indian law.

12. Governing Law and Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in [Your City], [Your State], India.

In case of any dispute, the parties shall first attempt to resolve the matter through good faith negotiations. 13. Grievance Redressal

In accordance with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, we have appointed a Grievance Officer to address your concerns. If you have any grievances regarding the Service, you may contact our Grievance Officer:

14. Consumer Rights

As a consumer under the Consumer Protection Act, 2019, you have the right to:

  • Be informed about the quality, quantity, potency, purity, standard, and price of services
  • Seek redressal against unfair or restrictive trade practices
  • File complaints with the appropriate consumer forum
  • Cancel your subscription and seek refunds as per our Refund and Cancellation Policy

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes via email or through the Service at least 7 days in advance. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms. If you do not agree to the modified Terms, you may cancel your subscription.
